Rizzi is contemplated for specific non-emergency health and wellness concerns. Do not use this Site if you believe you may be experiencing a medical emergency. These Terms of Use (the "Terms") apply to your use of rizzihealth.com and any related content, features, or applications (together, the "Site") operated by [Rizzi legal entity name] ("Rizzi," "we," "us," or "our"). Please read these Terms carefully — they govern your legal relationship with Rizzi.

THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION IN THE "DISPUTE RESOLUTION; BINDING ARBITRATION; CLASS ACTION WAIVER" SECTION BELOW, INCLUDING A CLASS ACTION AND JURY TRIAL WAIVER. EXCEPT AS DESCRIBED THERE, DISPUTES BETWEEN YOU AND RIZZI WILL BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION, NOT IN COURT OR AS A CLASS ACTION. THAT SECTION EXPLAINS HOW TO OPT OUT OF ARBITRATION IF YOU CHOOSE.

Introduction

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. Even if you arrived at the Site through a link from a third party, you understand these Terms are entered into between you and Rizzi.

You understand and agree that Rizzi provides marketing, scheduling, and administrative coordination services only. Actual clinical evaluation, diagnosis, treatment, and prescribing (the "Healthcare Services") are provided exclusively by independent, licensed medical providers affiliated with OpenLoop Health ("OpenLoop"), not by Rizzi. If you do not agree to these Terms or our Privacy Policy, you may not use the Site.

Modification of Terms

We may amend these Terms at any time, for any reason, at our discretion. The "Last updated" date above reflects the most recent revision. Continued use of the Site after changes are posted constitutes your acceptance of the amended Terms. If you do not agree to the amended Terms, your sole remedy is to stop using the Site.

Description of Rizzi's Services

Rizzi's Site is intended to facilitate:

• marketing and educational content about weight loss treatment options;
• collection of preliminary intake information for the purpose of routing you to an OpenLoop-affiliated medical provider;
• administrative support in connection with scheduling and payment coordination for Healthcare Services delivered by OpenLoop-affiliated providers; and
• general customer support related to your use of the Site.

You understand that Rizzi collects certain information from you (such as your name, contact details, and preliminary health information) in order to route you to an OpenLoop-affiliated provider, who will independently determine — in their own professional judgment — whether treatment or a prescription is appropriate for you.

All Healthcare Services are provided by independent medical providers affiliated with OpenLoop, who are solely responsible for the care they deliver. Rizzi does not provide Healthcare Services, is not licensed to practice medicine, and does not control or interfere with the clinical judgment of any provider. Rizzi is not responsible for Healthcare Services or your use of them, including any personal injury or property loss arising from care delivered by an OpenLoop-affiliated provider.

Rizzi is not a pharmacy. Any medication fulfillment occurs through OpenLoop's affiliated or contracted pharmacy partners, and by using the Site you understand you may be entering into a separate relationship with a pharmacy or pharmacy group.

Pharmacy Partners

Eligibility

To use the Site, you must:

• Be at least 18 years of age;
• Reside in the United States, in a state or territory where the Services are available;
• Agree to be legally bound by these Terms.

Meeting these requirements does not guarantee that you will be found eligible for Healthcare Services. Eligibility for treatment is determined solely by the treating OpenLoop-affiliated provider on a case-by-case basis.

State Coverage

Registration, Accounts, and User Data

You may be asked to register for an account to access certain features. Information you submit through the Site ('User Data') may be used by Rizzi to operate the Site, and — where relevant to your care — shared with OpenLoop-affiliated providers as described in our Privacy Policy.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately via our Contact page of any unauthorized use of your account.

Electronic Communications; Signatures

By creating an account or using the Site, you consent to receive communications from Rizzi electronically — including by email, text message, or notices posted on the Site. These may include account notices (such as confirmations or password changes) as well as promotional communications, which you may opt out of at any time using the unsubscribe instructions provided.

You agree that any electronic notice, disclosure, or agreement we provide satisfies any legal requirement that such communication be in writing. You further agree that clicking, tapping, or otherwise selecting an item, button, or checkbox on the Site to accept, acknowledge, or agree to any term constitutes your legal signature and has the same effect as a signature made on paper. No additional certification or third-party verification is required for your electronic signature to be valid and enforceable.

Your Responsibilities

You agree that:

• All information you provide through the Site is accurate, complete, and current, and you will promptly update it if it changes;
• Your account is for your personal use only and may not be shared;
• You understand that Healthcare Services depend on the accuracy of the information you provide, and Rizzi is not responsible for consequences arising from inaccurate or incomplete information you submit.

If we have reasonable grounds to suspect your information is inaccurate, incomplete, or that your account is being misused, we may suspend or terminate your access to the Site.

Restrictions on Use

You will not:

• Use the Site on behalf of anyone other than yourself;
• Use the Site in a manner that infringes any third party's rights or violates applicable law;
• Attempt to disrupt, damage, or gain unauthorized access to the Site or its underlying systems;
• Circumvent any security measure implemented to protect the Site or user information;
• Reproduce, resell, sublicense, or commercially exploit the Site or its content without our written permission;
• Use the Site to build a competing product or service.

Licensing

Subject to your compliance with these Terms, Rizzi grants you a personal, limited, revocable, non-exclusive, non-transferable license to access and use the Site for your own personal, non-commercial use. All rights not expressly granted are reserved by Rizzi.

Disclaimer of Limited Services

The Site is designed for specific weight loss-related services and is not, and should not be treated as, comprehensive medical advice, diagnosis, or treatment. Always consult your physician or another qualified healthcare provider with questions about your health, medications, or before starting or stopping any treatment.

Telehealth Consent

Before receiving Healthcare Services, you will be required to review and agree to OpenLoop's Telehealth Consent, which explains how telehealth visits work along with their benefits and limitations. Read Telehealth Consent.

Mobile / SMS Terms

Rizzi offers a recurring text messaging program ("Rizzi Alerts") that you may opt into to receive appointment reminders, account updates, and promotional offers related to weight loss treatment.

Opting in. By providing your mobile number and opting in (for example, through an intake form or account setting), you agree to receive automated text messages from Rizzi at that number. Consent to receive these messages is not a condition of purchasing any service.

Frequency and charges. Message frequency varies. Message and data rates may apply; contact your wireless carrier with questions about your plan.

Opting out. Reply STOP to any message to cancel; you will receive one confirmation message and no further texts unless you opt in again. We also honor opt-out requests sent by any other reasonable method, including through our Contact page, within 10 business days.

Help. Reply HELP to any message, or reach us through our Contact page for assistance.

Eligibility. You must be a U.S. resident, at least 18 years old, and the account holder (or have the account holder's permission) for the mobile number provided, in order to participate.

Carrier disclaimer. Carriers are not liable for delayed or undelivered messages.

Changes to the program. Rizzi may modify or discontinue this program at any time, with reasonable notice to enrolled participants where required by law.

Payment

By submitting payment information, you authorize us (or our payment processor) to charge the amount due for the services you've selected. Unless expressly stated otherwise, services offered through the Site are cash-pay and are not billed to insurance; we do not guarantee that any amount paid is eligible for reimbursement by insurance, HSA/FSA, or otherwise. You are solely responsible for all applicable fees.

If you enroll in a subscription or recurring plan, you authorize us to charge your payment method on a recurring basis until you cancel, subject to the cancellation terms disclosed at checkout and in Rizzi's Refund Policy. If a chargeback is initiated on your account, we may suspend your account while the matter is resolved, and collection efforts may apply to amounts legitimately owed. Privacy

Intellectual Property

Rizzi owns all right, title, and interest in the Site and its content (text, graphics, logos, and design), except for content owned by OpenLoop or other third parties. You may not copy, modify, distribute, or create derivative works from the Site's content without our written permission. Trademarks displayed on the Site may not be used without express written permission.

Third-Party Links

The Site may link to third-party websites, including OpenLoop's. We do not control and are not responsible for the content, policies, or practices of any linked third-party site. Use of linked sites is at your own risk.

Disclaimer of Warranties; Limitation of Liability

The Site is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure. Your use of the Site is at your own risk.

To the fullest extent permitted by law, Rizzi will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of (or inability to use) the Site, including damages for personal injury, arising out of or related to Healthcare Services delivered by OpenLoop-affiliated providers. Some jurisdictions do not allow limitations on liability, so this limitation may not apply to you.

If you are a California resident, you waive California Civil Code Section 1542, which provides: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

Dispute Resolution; Binding Arbitration; Class Action Waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court or participate in a class action.

Agreement to arbitrate. You and Rizzi agree that any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Site, or the Services (a "Dispute") will be resolved through binding, individual arbitration rather than in court, except as set out below. This includes Disputes based on events that occurred before you agreed to these Terms and Disputes that may arise after your use of the Site ends.

Informal resolution first. Before starting an arbitration, you agree to first send a written description of the Dispute through our Contact page so we have a chance to resolve it informally. If the Dispute isn't resolved within 60 days of that notice, either party may begin arbitration.

Arbitration provider and procedure. Arbitration will be administered by JAMS under its rules then in effect, before a single arbitrator. The Federal Arbitration Act governs the interpretation and enforcement of this provision. The arbitrator, not any court, has authority to resolve disputes about the interpretation, applicability, or enforceability of this arbitration agreement — except that only a court may decide challenges to the Class Action Waiver below.

Class action and jury trial waiver. You and Rizzi agree that any Dispute will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. Both parties waive any right to a jury trial. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

Exceptions. Either party may instead bring an individual action in small claims court where the claim qualifies, and either party may bring claims relating to intellectual property rights (such as trademarks, trade secrets, copyrights, or patents) in court rather than arbitration. Notwithstanding the parties' agreement to resolve disputes through arbitration, Rizzi may bring an action in state or federal court to protect its intellectual property rights, and doing so will not waive Rizzi's right to otherwise require arbitration under this section.

Right to opt out. You may decline this arbitration agreement by sending written notice through our Contact page within 30 days of first agreeing to these Terms. Your notice must include your full name, the email address associated with your account, and a clear statement that you opt out of this arbitration provision. If you opt out, this section will not apply to you, but the remainder of these Terms will still apply.

Costs. Each party's responsibility for arbitration filing and administrative fees will follow the arbitration provider's applicable rules. [Insert any fee-shifting or fee-waiver commitments Rizzi wants to make for individual, non-mass-filed claims, if any.]

Severability. If any part of this section is found unenforceable, the remainder will still apply, except that if the Class Action Waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court rather than arbitration, and the rest of this section will otherwise remain in effect.

Indemnification

You agree to indemnify and hold Rizzi harmless from claims, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, misuse of the Site, or violation of applicable law.

Modifications to the Site

We may modify, suspend, or discontinue the Site or any part of it at any time, with or without notice, and without liability to you.

Suspension and Termination

These Terms remain in effect while you use the Site. Your right to use the Site terminates automatically if you violate these Terms. We may suspend or terminate your access at any time, for any reason, with or without notice. Provisions that by their nature should survive termination (e.g., Disclaimer of Warranties, Limitation of Liability, Arbitration, Indemnification, Governing Law) will survive.

Governing Law

These Terms, and any matter not covered by the Federal Arbitration Act under the Dispute Resolution section above, are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Geographic Restrictions

Rizzi is based in the United States, and the Site is intended for use by individuals located in the United States, in states and territories where the Services are available. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

Copyright Infringement (DMCA)

Rizzi respects intellectual property rights and responds to notices of alleged copyright infringement consistent with the Digital Millennium Copyright Act. If you believe content on the Site infringes your copyright, send a notice through our Contact page including:

• A signature of the person authorized to act on behalf of the rights owner;
• Identification of the copyrighted work claimed to be infringed;
• Identification of the allegedly infringing material and its location on the Site;
• Your contact information;
• A statement of good-faith belief that the use is not authorized;
• A statement, under penalty of perjury, that the notice is accurate and that you are authorized to act on the rights owner's behalf.

Miscellaneous

These Terms constitute the entire agreement between you and Rizzi regarding the Site. If any provision is found invalid, the remaining provisions continue in effect. Section headings are for convenience only. Our failure to enforce a provision does not waive our right to do so later. You may not assign your rights under these Terms without our written consent.
